White-Label Partner Agreement

This White-Label Partner Agreement ("Agreement") is entered into between:

GoFast Technologies LLC
("Company," "GoFast Technologies," "we," "us," or "our")

and

The individual, company, organization, association, or entity subscribing to GoFastSUPPORT.ai's White-Label Services
("Partner," "Customer," "you," or "your").

This Agreement governs the use of GoFastSUPPORT.ai's White-Label platform, branding, customization, replication technology, and related services.

By purchasing, subscribing to, or using White-Label Services, you agree to be bound by this Agreement.

1. Purpose

The purpose of this Agreement is to establish the terms under which GoFast Technologies LLC grants the Partner the right to operate, market, and use GoFastSUPPORT.ai under the Partner's own branding through the Company's White-Label platform.

2. Definitions

White-Label Services

The software, platform, tools, technology, support systems, AI services, documentation systems, and related functionality made available under the Partner's branding.

Partner Brand

The trademarks, logos, trade names, business names, domain names, and branding supplied by the Partner.

End Users

The Partner's customers, distributors, affiliates, members, employees, clients, subscribers, or authorized users.

Platform

The GoFastSUPPORT.ai software and supporting infrastructure.

3. License Grant

Subject to compliance with this Agreement, the Company grants the Partner a limited, non-exclusive, non-transferable, revocable license to:

  • Use the White-Label platform;

  • Display Partner branding;

  • Market the services under Partner branding;

  • Provide access to authorized End Users;

  • Utilize approved White-Label features.

No ownership rights are transferred to the Partner.

All rights not expressly granted are reserved by GoFast Technologies LLC.

4. Ownership of Platform

The Partner acknowledges that GoFast Technologies LLC retains all ownership rights in:

  • Software

  • Source code

  • Databases

  • APIs

  • Artificial intelligence systems

  • Documentation

  • Platform architecture

  • Replication technology

  • Trademarks and service marks

  • Proprietary methodologies

This Agreement grants only a license to use the platform.

No ownership interest is conveyed.

5. Partner Branding

The Partner may customize approved elements of the platform, including:

  • Logos

  • Business names

  • Color schemes

  • Contact information

  • Domain configurations

  • White-label customer-facing content

The Partner warrants that it owns or has the legal right to use all branding materials provided.

The Company assumes no responsibility for trademark disputes or branding conflicts involving the Partner.

6. White-Label Features

Available White-Label features may include:

  • Custom branding

  • Custom domains

  • Knowledge base systems

  • Help desk systems

  • AI support assistants

  • Ticket management

  • Documentation systems

  • Customer portals

  • Affiliate systems

  • Replication technology

  • Analytics dashboards

Feature availability may vary based on subscription level.

The Company reserves the right to modify, improve, replace, or discontinue features.

7. Partner Responsibilities

The Partner is solely responsible for:

  • Operating its business

  • Customer relationships

  • Customer support obligations

  • Compliance with laws

  • Content uploaded to the platform

  • Marketing activities

  • Privacy notices

  • Terms and conditions provided to End Users

  • Regulatory compliance

The Company does not supervise or control Partner business activities.

8. End User Relationships

The Partner remains the primary relationship holder with all End Users.

The Partner is responsible for:

  • End User onboarding

  • Customer communications

  • Billing End Users

  • Support commitments

  • Privacy disclosures

  • Compliance obligations

The Company has no contractual relationship with Partner End Users unless expressly stated otherwise.

9. Replication Technology

Where available, the platform may include replication technology allowing the automated creation of branded support portals, microsites, subdomains, affiliate pages, and related assets.

The Partner agrees:

  • Not to misuse replication technology;

  • Not to create deceptive or unlawful content;

  • Not to impersonate third parties;

  • To remain responsible for all replicated content.

The Company reserves the right to suspend replication features if misuse is detected.

10. Acceptable Use

The Partner shall comply with:

  • Terms of Service

  • Acceptable Use Policy

  • Privacy Policy

  • Data Processing Agreement

  • Applicable laws and regulations

Violation of Company policies may result in suspension or termination.

11. Prohibited Activities

The Partner may not use White-Label Services to:

  • Conduct unlawful business activities;

  • Operate fraudulent schemes;

  • Violate intellectual property rights;

  • Misrepresent the platform;

  • Distribute malware;

  • Engage in spam activities;

  • Promote illegal products or services;

  • Violate consumer protection laws.

12. Subscription Fees

White-Label services are subject to subscription fees and other charges as published by the Company.

The Partner agrees to:

  • Pay all fees when due;

  • Maintain valid payment information;

  • Comply with billing requirements.

Failure to pay fees may result in suspension or termination.

13. No Revenue Guarantee

The Company makes no guarantee regarding:

  • Revenue generation;

  • Customer acquisition;

  • Affiliate performance;

  • Lead generation;

  • Business growth;

  • Return on investment.

Business success depends upon numerous factors beyond the Company's control.

14. Data Ownership

The Partner retains ownership of content uploaded to the platform, including:

  • Documents

  • Knowledge base articles

  • Branding assets

  • Support records

  • Customer content

The Company retains ownership of the software and platform itself.

The Partner grants the Company the rights necessary to host, process, store, transmit, and display such content solely for providing services.

15. Data Protection

The Company will process Partner data in accordance with:

  • Privacy Policy

  • Data Processing Agreement

  • Security & Data Protection Policy

The Partner remains responsible for ensuring lawful collection and use of End User information.

16. Third-Party Services

The platform may integrate with third-party providers including:

  • Artificial intelligence providers

  • Hosting providers

  • Email services

  • Analytics providers

  • Payment processors

The Company is not responsible for third-party outages, failures, security incidents, or service interruptions.

17. Confidentiality

Both parties agree to maintain the confidentiality of non-public information disclosed during the relationship.

Confidential information includes:

  • Business plans

  • Technical information

  • Customer information

  • Pricing arrangements

  • Proprietary processes

Confidentiality obligations survive termination of this Agreement.

18. Service Availability

The Company strives to provide reliable service but does not guarantee:

  • Continuous operation;

  • Uninterrupted access;

  • Error-free functionality;

  • Specific uptime percentages unless separately agreed in writing.

Maintenance and upgrades may affect availability.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

GOFAST TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR:

  • LOST PROFITS

  • LOST REVENUE

  • LOST BUSINESS OPPORTUNITIES

  • LOSS OF DATA

  • BUSINESS INTERRUPTION

  • INDIRECT DAMAGES

  • INCIDENTAL DAMAGES

  • SPECIAL DAMAGES

  • CONSEQUENTIAL DAMAGES

ARISING FROM THIS AGREEMENT OR USE OF THE PLATFORM.

THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

(a) THE FEES PAID BY THE PARTNER TO THE COMPANY DURING THE PRECEDING TWELVE (12) MONTHS; OR

(b) ONE HUNDRED UNITED STATES DOLLARS (US $100).

NOTWITHSTANDING THE FOREGOING, THESE LIMITATIONS AND EXCLUSIONS DO NOT APPLY TO DAMAGES ARISING FROM GOFAST TECHNOLOGIES LLC'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.

20. Indemnification

The Partner agrees to defend, indemnify, and hold harmless GoFast Technologies LLC, its owners, officers, employees, contractors, and affiliates from claims arising from:

  • Partner content;

  • Partner branding;

  • Partner marketing activities;

  • End User disputes;

  • Regulatory violations;

  • Privacy violations;

  • Intellectual property claims related to Partner-provided materials.

21. Suspension

The Company may suspend White-Label Services immediately if:

  • Fees are unpaid;

  • Policies are violated;

  • Security risks arise;

  • Fraud is suspected;

  • Legal obligations require action.

Suspension may occur without prior notice.

22. Termination

Either party may terminate the relationship according to applicable subscription terms.

Upon termination:

  • Access may cease immediately;

  • White-label rights terminate;

  • Branding rights terminate;

  • Certain data may be deleted according to Company policies.

Termination does not relieve either party of obligations incurred before termination.

23. Independent Contractors

Nothing in this Agreement creates:

  • A partnership;

  • A joint venture;

  • An employment relationship;

  • An agency relationship;

  • A franchise relationship.

The parties remain independent contractors.

24. Governing Law

This Agreement shall be governed by the laws of the State of Florida, United States of America, without regard to conflict-of-law principles.

25. Dispute Resolution

The parties agree to attempt good-faith resolution of disputes before commencing legal action.

Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, USA.

26. Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including:

  • Natural disasters

  • Internet outages

  • Utility failures

  • Cyberattacks

  • Government actions

  • Labor disputes

  • War

  • Terrorism

27. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, Data Processing Agreement, Acceptable Use Policy, and other referenced policies, constitutes the complete agreement between the parties regarding White-Label Services.

28. Modifications

The Company may update this Agreement from time to time.

Updated versions become effective upon publication on the platform.

Continued use of White-Label Services constitutes acceptance of revised terms.
